MEMBERS

EVI, Inc. is a membership non-profit organization.


Membership was defined many years ago in the by-laws by the founding members.


Members elect from members its board of directors.


Members are responsible for making all major decisions of the non-profit.


Members are responsible for upholding the By-Laws as well as changing the By-Laws.




Article Two of the By-Laws defines membership.

2.1 TYPE OF ASSOCIATION

EVII shall have one class of Members and may have one or more classes of Associates who shall not be Members.

2.2 MEMBERS

2.2.A. Qualification for Membership.  Membership in EVII shall be open to all individuals who support the activities and purposes of EVII; sign a statement of agreement with the principles and purposes in Article One of these By-Laws; agree to abide by these By-Laws; attend any officially-sanctioned orientation; agree to take part in the work of EVII; and pay an annual Membership Fee.

2.2.B. Roster of Members.  A roster of such individuals who meet these Membership requirements shall be maintained by the Secretary and this roster shall be considered as the official list of Members of EVII.

2.2.C.  Privileges of Membership.  Each Member shall be entitled to receive all general notices of activities of EVII; to attend the meetings of any Committee of EVII; to propose to the Board of Directors the creation of a new official Committee or to create a Working Group, which is not an official Committee; to attend any meeting of the Board of Directors and participate as specified in Article 7.2.B, except for those meetings which have been designated as Executive Sessions; to attend and fully participate in the Annual Meeting of EVII; to call a Special Meeting of EVII in the manner set forth in Article 7.1.C.; to nominate themselves or other Members for a position on the Board of Directors, in the manner specified in Article Three; to serve on the Board if duly elected; to institute a grievance procedure in the manner set forth in Article Ten; and to participate in the decision-making process for each matter properly brought before the Membership.

2.2.D. Termination of Membership.  1. Membership may be terminated, at the discretion of the Board of Directors, should an individual not pay the assigned annual fee.  2. Membership may also be terminated if recommended by a hearing panel at the conclusion of the Conflict Resolution Procedure (Article Ten).

2.2.E.  Liabilities of Membership.  No Member shall be liable for any debts or obligations of EVII norsubject to any punitive assessment.

2.2.F.  Membership Fee.  Members shall be assessed an annual Membership Fee, the amount of which shall be determined by the Board of Directors and ratified by the Membership.

2.3 ASSOCIATES

Associates shall be any individual, groups of individuals or organizations who are interested in keeping abreast of developments with EVII and who pay a fee, of an amount determined by the Board of Directors, in order to receive informational notices and mailings.  Associates may attend any meetings open to the Membership, but may not participate in decision-making.
